By purchasing a licence, accessing, or using the Wiri platform (“Software”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Software.
Subject to payment of the applicable licence fee, Wiri grants you a non-exclusive, non-transferable, perpetual licence to install and use the Software for your own internal business operations. The licence is limited to the number of branches specified in your plan.
Your licence includes the first year of the Annual Maintenance Agreement (AMA), which entitles you to software updates, new features, and priority support. After the first year, the AMA may be renewed annually at 20% of the original licence price. If you choose not to renew, your current version of the Software continues to function but will not receive further updates.
You may not: (a) sublicense, sell, resell, or transfer the Software to any third party; (b) modify, reverse-engineer, or create derivative works from the Software; (c) use the Software to provide services to third parties on a hosted or SaaS basis without written authorisation from Wiri; (d) remove or alter any proprietary notices in the Software.
All fees are due at the time of purchase and are non-refundable except as required by applicable law. Prices are stated in US dollars unless otherwise indicated. You are responsible for all applicable taxes.
You retain ownership of all data entered into the Software. Wiri does not sell your data to third parties. Our use of any data we collect is governed by our Privacy Policy.
Support is provided via the customer portal and email. Response times and priority levels are determined by your licence tier. Wiri aims to respond to all requests within one business day.
The Software is provided “as is” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. Wiri does not warrant that the Software will be error-free or uninterrupted.
To the maximum extent permitted by law, Wiri’s total liability for any claim arising out of these Terms or the Software shall not exceed the amount paid by you for the Software in the twelve months preceding the claim. In no event shall Wiri be liable for any indirect, incidental, or consequential damages.
These Terms are governed by applicable law. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in the jurisdiction where Wiri is registered.
Wiri reserves the right to modify these Terms at any time. Continued use of the Software following notice of changes constitutes acceptance of the updated Terms.
